KINNOR SOFTWARE LICENCE AGREEMENT

Please read this agreement before you install or use the software. By installing, copying or using it, you agree to these terms. If you do not agree, do not install or use the software.

1. WHO AND WHAT THIS COVERS

This is an agreement between you (a person, or the organisation you act for) and Bezalel Instruments, LLC, a Pennsylvania limited liability company ("Bezalel Instruments", "we", "us").

"The software" means Kinnor, Kinnor Pads, Kinnor Echo and Kinnor Sanctuary (Echo and Sanctuary together are "Kinnor Effects") in every format we distribute (plug-in, standalone application and installer), together with their sounds (presets, wavetables, sample sets and other audio content), their documentation, and any updates we provide. An update comes under this agreement unless it arrives with a different one.

2. YOUR LICENCE

We licence the software to you; we do not sell it. Subject to this agreement, we grant you a non-exclusive, non-transferable licence:

(a) Kinnor and Kinnor Pads, with a licence key: to install and use the product on as many computers as the key allows (three, unless the key or your purchase says otherwise), each owned or controlled by you, for making, recording, producing, performing and teaching music.

(b) Kinnor and Kinnor Pads, trial: to install and use the product for 14 days per product per computer, to evaluate it. When the trial ends the product stops producing sound until a licence key is entered.

(c) Pre-release keys: a beta or test key works until the end date shown with it, and may be extended, ended or replaced by us at any time.

(d) Kinnor Effects: free of charge, on any number of computers you own or control.

You may make one backup copy of the installers.

3. WHAT YOU MAKE WITH IT

The music, recordings, performances and broadcasts you create with the software are yours. You may use the sounds of the software in them freely and without royalties, including in commercial releases, film, games, streams, broadcasts, live performance and worship services.

You may not distribute the sounds themselves on their own or in a form that lets others use them as sounds: for example as presets, patches, sample libraries, wavetables, loops or sound packs, or as part of another instrument, sound library or product that competes with the software. A sound used as part of a finished piece of music is not distributed on its own.

4. RESTRICTIONS

Except as this agreement allows or as applicable law permits despite this limitation, you may not:

- copy, modify, translate or make works derived from the software;
- reverse engineer, decompile or disassemble it;
- remove, bypass, disable or interfere with its licence check, its activation or its trial limits, or share, publish, sell or lend licence keys;
- rent, lease, sublicense, resell or otherwise transfer the software or your licence to anyone else;
- remove or change any copyright, trademark or other notice in it.

5. ACTIVATION AND THE INTERNET

Kinnor and Kinnor Pads must be activated over the internet, with a licence key or a trial, and check in with our licence server from time to time (at least once every 30 days) to keep working. The trial key is sent by email, so starting a trial needs a valid email address. Kinnor Effects needs no activation. What is sent, and why, is described in our Privacy Policy (PRIVACY-POLICY.txt, installed with the software, and at https://bezalelsound.com/privacy).

If our licence server is unavailable, a product that is already activated keeps working until its current check-in period ends. We will make reasonable efforts to keep the licence server available, or to provide a way to keep using products you have paid for if we stop operating it.

6. THIRD-PARTY COMPONENTS AND RECORDINGS

The software includes components, fonts and sample recordings made by others, listed with their licences in THIRD-PARTY-NOTICES.md and THIRD-PARTY-LICENSES.txt, installed with the software. Each of those is licensed to you under its own licence. Nothing in this agreement limits any right those licences give you in those components and recordings, and where this agreement and one of those licences disagree about that component or recording, its own licence applies.

7. OWNERSHIP

The software, including its code, sounds, artwork and documentation, is owned by Bezalel Instruments, LLC and its licensors and is protected by copyright and other laws. We keep every right not expressly granted to you. Kinnor and Bezalel Instruments are names of Bezalel Instruments, LLC. Other names mentioned in the software and its documentation are trademarks of their owners and are used only to describe compatibility or the instruments a sound is modelled on; we are not affiliated with or endorsed by them.

8. UPDATES

We may provide updates, including factory sound updates. We are not obliged to provide any update, support or maintenance, and an update may add, change or remove features.

9. ENDING THIS AGREEMENT

You may end this agreement at any time by uninstalling the software and deleting every copy. It ends automatically if you break any of its terms; we may also revoke a licence key that was used in breach of it. When it ends you must stop using the software and delete every copy. Sections 3 (for music you have already made), 6, 7 and 10 to 13 continue after it ends.

10. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, BEZALEL INSTRUMENTS, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPATIBLE WITH ANY PARTICULAR COMPUTER, HOST APPLICATION OR DEVICE. ALWAYS KEEP BACKUPS OF YOUR PROJECTS, PRESETS AND SET LISTS, AND TEST THE SOFTWARE BEFORE RELYING ON IT IN A PERFORMANCE.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT THE LAW ALLOWS, BEZALEL INSTRUMENTS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, RECORDINGS, PROFITS, REVENUE OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF WE HAVE BEEN TOLD SUCH DAMAGES ARE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENCE THE CLAIM CONCERNS, OR US$50 IF YOU PAID NOTHING.

Some places do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. Nothing in this agreement limits rights you have as a consumer that the law does not let a contract take away.

12. EXPORT AND GOVERNMENT USE

You will comply with the export control and sanctions laws that apply to you and to the software. If you are a United States government user, the software is "commercial computer software" and is licensed to you only with the rights in this agreement.

13. GENERAL

This agreement is governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Pennsylvania have exclusive jurisdiction over any dispute arising from it, unless the law where you live as a consumer requires otherwise. If any part of it is found unenforceable, the rest stays in effect. It is the entire agreement between you and us about the software and replaces any earlier one. Our not enforcing a term is not a waiver of it. We may update this agreement for later versions of the software; the version that came with the software you installed applies to that version.
